Terms of Service

1. Agreement

These Terms of Service ("Terms") govern your use of onfinanceai.org and the OnFinance AI regulatory compliance automation platform (collectively, the "Service") operated by OnFinance AI Pvt Ltd ("the Company," "we," "us," or "our"), registered at 24 Brigade Road, Bengaluru, Karnataka 560025, India. By accessing or using the Service you confirm that you accept these Terms and agree to be bound by them. Nothing in these Terms limits your statutory rights under the laws of your country of residence.

These Terms constitute a binding agreement between the Company and the institution or individual ("you" or "User") accessing the Service. If you are accessing the Service on behalf of an institution, you represent that you are authorised to bind that institution to these Terms.

2. Description of the Service

OnFinance AI provides a platform that automates the tracking and analysis of regulatory circulars published by the Reserve Bank of India (RBI), the Securities and Exchange Board of India (SEBI), the Insurance Regulatory and Development Authority of India (IRDAI), and the Pension Fund Regulatory and Development Authority (PFRDA). The Service includes:

  • Automated ingestion of circulars from regulator publication feeds.
  • Paragraph-level change detection comparing new circulars against prior versions using language model processing.
  • Mapping of detected changes to your uploaded policy register and control framework.
  • Generation of timestamped evidence packs suitable for audit review and regulatory inspection responses.

The Service is designed as a compliance operations tool to reduce the manual effort involved in circular impact analysis. It is not a legal advisory service, and nothing produced by the Service constitutes legal advice. Institutions remain responsible for their own compliance determinations, interpretations of regulatory obligations, and submissions to regulators. The Service is designed to support your compliance team's workflow, not to replace professional regulatory or legal judgment.

3. Use of the Service

  • You must be of legal age in your jurisdiction or have appropriate institutional authorisation to enter into contracts on behalf of your organisation.
  • You agree to use the Service solely for lawful compliance operations purposes and not to use it in any manner that would violate applicable Indian law or the terms of any regulatory obligation your institution is subject to.
  • You agree not to interfere with the operation of the Service, attempt to gain unauthorised access to any part of the platform, or use the Service to process data in a manner inconsistent with these Terms.
  • You may not scrape, reverse-engineer, decompile, or copy the Service or its outputs except as permitted by mandatory law or with our prior written consent.
  • Access credentials are personal to the authorised user and must not be shared. You are responsible for all activity that occurs under your account.

4. Intellectual Property

The Service, including its change detection models, evidence pack generation logic, interface design, and all related technology, is owned by the Company or its licensors and is protected under Indian and international intellectual property law. We grant you a limited, non-exclusive, non-transferable licence to use the Service for its intended purpose during the term of your active subscription or early-access arrangement.

Regulatory circulars published by RBI, SEBI, IRDAI, and PFRDA are public documents from Indian governmental and statutory bodies. The Company does not claim ownership of those source documents. The Company claims rights in the change detection analysis, evidence pack structure, and any derivative outputs generated by the platform.

5. User Content

You are responsible for any content, including policy register documents and internal compliance materials, that you submit to the Service. By submitting such content, you grant us a limited licence to use, store, and process the content solely to provide the Service to you. We do not use your submitted compliance documents or policy registers to train machine learning models without your explicit written consent. You warrant that you have the right to submit such content and that doing so does not violate any applicable law or third-party rights.

6. Disclaimers

The Service is provided on an "as is" and "as available" basis. We apply reasonable care to the accuracy of our change detection outputs, but language model processing of regulatory text can produce errors, omissions, or mischaracterisations, particularly where circular provisions reference defined terms with narrow legal meanings or where two circulars are in apparent conflict. We flag low-confidence extractions for human review. You should not rely solely on Service outputs for compliance determinations without independent review by a qualified compliance officer or legal counsel. We disclaim all implied warranties to the maximum extent permitted by applicable Indian law. Mandatory statutory rights applicable under Indian consumer or commercial law are not affected.

7. Limitation of Liability

To the maximum extent permitted by applicable law, the Company's total aggregate liability for any claim arising from or related to the Service, whether in contract, tort, or otherwise, will not exceed the total fees you paid for the Service in the twelve months preceding the event giving rise to the claim, or INR 50,000 (whichever is lower), except where liability cannot be limited under mandatory Indian law. We are not liable for any indirect, consequential, or special loss, including regulatory penalties arising from reliance on Service outputs without independent professional review.

8. Indemnification

You agree to indemnify and hold harmless the Company and its directors, employees, and service providers from any claims, liabilities, or costs (including reasonable legal costs) arising from your use of the Service, your breach of these Terms, or your violation of any third-party right or applicable law in connection with your use of the platform.

9. Termination

We may suspend or terminate your access to the Service for material breach of these Terms, non-payment of applicable fees, or where required by law. On termination, your right to access the Service ceases. Provisions that by their nature should survive termination, including Sections 4, 6, 7, 8, and 10, will survive.

10. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of India, including the Information Technology Act 2000, the Indian Contract Act 1872, and any applicable sector-specific regulations. Any dispute arising from or in connection with these Terms is subject to the non-exclusive jurisdiction of the competent courts in Bengaluru, India, without prejudice to the mandatory consumer-protection or statutory rights of your country of residence.

11. Changes and Contact

We may update these Terms from time to time to reflect changes in our practices, applicable law, or the Service. Material changes will be notified by posting a revised version with an updated "Last updated" date. Continued use of the Service after the effective date of a change constitutes acceptance of the revised Terms.
